1. Introduction

These Terms and Conditions (“Terms”) govern the provision of design, development, and consulting services (the “Services”) by EnergyCore Solutions LLC (“EnergyCore”, “we”, “us”, “our”) to any client (“you”, “your”, “Client”) who engages us, whether via our website, email, telephone, or in person.

By accepting a proposal, making payment, or otherwise instructing us to commence work, you agree to be bound by these Terms.

2. Our Services

We provide five core service lines:

• Web Design — custom website design, responsive layouts, UI/UX design, landing pages, redesigns, and ongoing maintenance
• SEO — keyword research, on-page and technical SEO, local SEO, content strategy, and reporting
• Consulting — business strategy, process optimization, digital transformation, market analysis, and growth planning
• Software Development — custom web applications, API development and integration, database design, automation tools, and SaaS products
• Tax & VAT Consultancy — VAT registration and returns, tax planning, bookkeeping, compliance reviews, and cross-border VAT support

All engagements begin with a written proposal defining the scope, deliverables, timeline, and total price. No work commences without a confirmed proposal.

3. Proposals & Pricing

3.1 All proposals are provided following an initial consultation and are valid for 30 days from the date issued, unless otherwise stated.

3.2 Proposals are based on the information provided by the client at the time of scoping. If the scope materially changes during delivery, we will notify you promptly and provide a revised proposal before proceeding with any additional work.

3.3 All prices are quoted in United States dollars (USD) and are exclusive of any applicable taxes, unless stated otherwise on the proposal or invoice.

3.4 Prices shown on our website reflect indicative starting rates for standard-scope engagements. Every project is individually scoped and confirmed in writing before work begins.

4. Payment Terms

4.1 Unless otherwise agreed in writing, an initial deposit is payable to reserve a project slot and commence the discovery and planning phase. The balance is invoiced as set out in the proposal.

4.2 Payment terms are 14 days from the invoice date unless otherwise agreed in writing on the proposal.

4.3 Milestone invoicing may apply to larger or extended engagements, with payments due at agreed stages as defined in the proposal.

4.4 Late Payment: Sums not paid by the due date may attract interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, accruing daily from the due date. We may suspend work on any engagement with overdue invoices after providing written notice.

5. Client Responsibilities

Timely delivery depends on your cooperation. You agree to provide the content, access, credentials, approvals, and feedback we reasonably require, and to nominate a point of contact authorized to approve deliverables. Delays caused by outstanding client input may shift agreed timelines, and we will notify you where this occurs.

You confirm that any material you supply to us (including text, images, logos, and data) does not infringe the rights of any third party.

6. Intellectual Property

6.1 Upon receipt of payment in full, all work product, deliverables, and documentation created for the client transfers fully to the client.

6.2 Until payment is received in full, all deliverables and materials remain the intellectual property of EnergyCore Solutions LLC.

6.3 We retain ownership of any pre-existing tools, frameworks, libraries, or know-how used in delivering the Services, and grant you a perpetual licence to use them as incorporated into your deliverables.

6.4 We retain the right to reference the engagement type (not confidential client details) in general descriptions of our experience, unless you request otherwise in writing.

7. Confidentiality

We treat all client information disclosed during an engagement as confidential and will not disclose it to any third party except where required by law or where strictly necessary to deliver the agreed Services. This obligation survives the completion of the engagement.

9. Limitation of Liability

9.1 Our total liability for any claim arising from the Services shall not exceed the total fees paid by the client for the specific engagement giving rise to the claim.

9.2 We are not liable for indirect or consequential loss, including loss of income, business, data, or opportunity, except where caused by our negligence in circumstances where such loss was reasonably foreseeable.

9.3 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.

10. Data Protection

We process personal information in accordance with our Privacy Policy. By engaging our services, you acknowledge that your information will be processed as described there.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming, and both parties consent to the jurisdiction of those courts.

12. Changes to These Terms

We may update these Terms to reflect changes in our services, legal requirements, or business practices. The version in force at the time you accept a proposal will apply to that engagement.
